Who we are

VENDLOCUS LTD ("VendLocus", "we", "us"), Company No. SC902846, registered in Scotland. Registered Office: 48 West George Street, Glasgow, Scotland, G2 1BP. Contact: info@vendlocus.co.uk. These terms describe our UK business-to-business website, matching and introduction service. Read any opportunity-specific agreement before accepting it. Form submission does not itself create a fee obligation.

Our role and results

We review requirements and may suggest introductions between locations and vending or automated retail operators. We do not supply, install, own or operate their equipment. We do not guarantee opportunities, a suitable match, acceptance by either party, installation, revenue, commercial success or any other result. Each party should make its own checks before proceeding. The operator and location agree their own equipment, site-access, installation, maintenance, service and commercial arrangements.

They and VendLocus remain independent parties. An introduction creates no partnership, employment or agency relationship, and no party may bind another without express authority.

Information and authority

Provide accurate, relevant information and correct material changes. Do not submit unlawful, misleading, sensitive or unnecessary personal information. A person submitting a location should state their actual authority; a submission from someone without decision-making authority does not authorise an introduction or site access. We may seek confirmation from the relevant decision-maker. Operators remain responsible for their equipment, safety, insurance, licences, services and arrangements with locations.

Hosts remain responsible for their authority over the site and their own obligations. Neither party should rely on a matching recommendation as legal, technical or commercial verification.

Fees and separate written agreement

There is no fee merely for submitting a form, registering, receiving a summary or expressing interest. A VendLocus fee is payable only where the relevant parties separately agree it in writing. That agreement must identify the service, fee or calculation, applicable tax, exact payment trigger, invoicing/payment terms and any cancellation or refund terms before the chargeable work or event is relied upon.

These website terms set no fee amount, automatic installation/trial trigger or default payment deadline.

Confidentiality and location information

A potential match is reviewed internally before an operator receives a limited summary intended not to identify the host. If the operator is interested, any VendLocus fee and introduction terms are agreed in writing for that opportunity. We then obtain confirmation from the location’s authorised representative before sharing the agreed identifying details.

Exact address/postcode, host identity and personal contact details are withheld until this process is complete. Use non-public opportunity information only to assess or progress the agreed introduction. Share it only with people who need it for that purpose and are subject to suitable confidentiality duties. Protect it from unauthorised use or disclosure. These restrictions do not cover information lawfully public, already lawfully known, independently developed or lawfully received without restriction.

A legally required disclosure is permitted; where lawful and practical, notify the disclosing party and limit disclosure to what is required. Personal information must also be handled lawfully.

Non-circumvention

These terms impose no automatic 12-month restriction or fee. Any protection for a particular introduction must be separately and clearly agreed in writing, with its scope, duration and treatment of pre-existing or independently developed relationships stated. Do not assume that receiving a summary creates a commission entitlement.

Responsibility and limitations

We aim to exercise reasonable care in our own service. Third parties are responsible for their own performance, and we cannot guarantee their statements, suitability or conduct. Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited.

No blanket financial cap or exclusion of all losses is imposed here; any additional limitation requires an appropriate separately agreed contract, subject to applicable law.

Website, materials and privacy

Website access may be interrupted or changed for maintenance or other operational reasons. This does not remove rights under an existing agreement. VendLocus branding and original website materials may not be used commercially without permission, except as allowed by law. Personal information is handled as explained in our Privacy Notice. Accepting service terms is not consent to unrelated marketing.

Which terms apply and changes

Operator form terms provide further detail for operator enquiries. A separately agreed opportunity-specific contract takes priority for the commercial matters it expressly covers, subject to mandatory law. Updated website or form terms apply prospectively; publication alone does not retrospectively change an existing agreement. Material changes to an existing agreement require the parties' agreement in writing.

Governing law and disputes

These B2B terms are governed by Scots law, and disputes are subject to the jurisdiction of the Scottish courts, subject to any mandatory legal rights or jurisdiction rules that cannot be excluded. Contact info@vendlocus.co.uk to raise a service concern.
